End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User," "you," or "your") and Hannah Katherine Counseling LLC ("Company," "we," "us," or "our") governing your access to and use of the website hkc.care and any related digital content, materials, or services made available through the Website (collectively, the "Licensed Materials").
By accessing, browsing, or using the Website or Licensed Materials, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must discontinue use immediately.
1. License Grant
Subject to your compliance with this Agreement, Hannah Katherine Counseling LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Materials solely for your personal, non-commercial informational use.
No ownership rights are transferred to you under this Agreement.
2. License Restrictions
You agree that you will not, and will not permit others to:
Copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Licensed Materials
Modify, adapt, translate, reverse engineer, decompile, or create derivative works
Use the Licensed Materials for unlawful, misleading, or harmful purposes
Remove or alter copyright, trademark, or proprietary notices
Any use not expressly permitted under this Agreement is prohibited.
3. Ownership and Intellectual Property
All rights, title, and interest in and to the Website and Licensed Materials, including all intellectual property rights, are owned by Hannah Katherine Counseling LLC or its licensors and are protected by applicable federal and state laws.
Nothing in this Agreement grants you any right to use the Company’s name, trademarks, logos, or branding without prior written consent.
4. No Clinical or Professional Advice
The Licensed Materials are provided for general informational and educational purposes only and do not constitute medical, mental health, psychological, or clinical advice.
Use of the Website or Licensed Materials does not create a therapist-client relationship. A therapeutic relationship is established only through completion of intake, informed consent, and explicit confirmation by the therapist.
5. No Emergency Use
The Licensed Materials are not intended for use in emergencies or crisis situations.
If you are experiencing a mental health emergency or are at risk of harming yourself or others, call 911, go to the nearest emergency room, or contact the 988 Suicide & Crisis Lifeline (call or text 988) immediately.
6. User Conduct
You agree to use the Licensed Materials in compliance with all applicable laws and regulations and not to engage in any conduct that could damage, disable, overburden, or impair the Website or interfere with any other user’s access.
7. Third-Party Services
The Website may integrate or link to third-party services, platforms, or content. Hannah Katherine Counseling LLC does not control and is not responsible for third-party services, and your use of such services is governed by their respective terms and policies.
8. Termination
We reserve the right, at our sole discretion, to suspend or terminate your license and access to the Licensed Materials at any time, with or without notice, for violation of this Agreement or for any other lawful reason.
Upon termination, all rights granted to you under this Agreement will immediately cease.
9. Disclaimer of Warranties
The Licensed Materials are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Hannah Katherine Counseling LLC disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Hannah Katherine Counseling LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Licensed Materials.
In no event shall the Company’s total liability exceed the amount, if any, paid by you to access the Licensed Materials.
11. Indemnification
You agree to indemnify, defend, and hold harmless Hannah Katherine Counseling LLC, its owners, employees, contractors, and agents from any claims, damages, losses, liabilities, or expenses arising out of your use of the Licensed Materials or violation of this Agreement.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict-of-law principles.
13. Severability
If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and Hannah Katherine Counseling LLC regarding your use of the Licensed Materials and supersedes any prior or contemporaneous agreements, understandings, or communications.
